Introduction and Agreement to Terms
These Terms of Use (the “Terms”) constitute a binding legal agreement between you and MasteryHive Inc. (“MasteryHive”, “we”, “us” or “our”). These Terms govern your access to and use of the MasteryHive platform, including all associated websites, web applications, features, content, and any other functionalities offered (collectively, the “Services”).
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Cookies Policy, (collectively, the “Platform Policies”). If you do not agree with any provision of these Terms or the Platform Policies, you must refrain from accessing or using the Services. These Terms apply to all Users, whether browsing the website, registered as a business user, corporate client, administrator, or end-user.
Definitions
For the purposes of these Terms, the following terms shall have the meanings ascribed below:
“Account” refers to the unique registration and login credentials used by Users to access restricted or personalized areas of the Services.
“Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with MasteryHive Inc.
“Authorized User” means a User who has been permitted by a Client to access the Services as part of an enterprise or team deployment.
“Client” means an organization or legal entity subscribing to or contracting for the use of the Services on behalf of multiple Authorized Users.
“Content” means all data, documentation, files, images, learning materials, assessments, software code, APIs, and other materials accessible through or generated by the Services.
“Platform” refers to the full MasteryHive web ecosystem, including its platform, systems, support tools, and features that deliver the Services.
“Service(s)” refers to all MasteryHive-owned and operated platforms, websites, tools, software, AI solutions, products, learning content, and associated digital infrastructure used to deliver our offerings to Users.
“User” means any individual or entity who accesses, browses, or uses the Services.
“You” means the individual or entity accessing or using the Services on their own behalf or on behalf of a business or other legal entity.
The above definitions shall have the same meaning regardless of whether they appear in singular or in plural.
Eligibility and User Capacity
The Services are intended for use by individuals who are at least eighteen (18) years of age or who have the legal capacity to enter into contracts in their jurisdiction. Users under the age of eighteen (18) are strictly prohibited from registering for or using any feature of the Services.
By creating an account, you affirm that you meet the eligibility requirements and have the legal capacity to enter into these Terms. You also accept full responsibility for your conduct on the Platform.
If you are accessing the Services on behalf of an organization, you represent and warrant that you are duly authorized to bind that organization to these Terms.
Account Registration and Security
To access certain features of the Services, you must create a User account. You agree to provide accurate, current, and complete information during the registration process and to promptly update such information as necessary.
You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You agree not to share your login credentials with others or permit any unauthorized access.
You must not impersonate another person, use a false identity, or create multiple accounts to bypass any restrictions or limitations. In the event of unauthorized access or suspected compromise of your account, you must notify us immediately.
MasteryHive shall not be liable for any loss or damage resulting from your failure to comply with these obligations. We reserve the right to suspend or terminate your account if any information provided is false, misleading, or incomplete.
Description of the Services
MasteryHive delivers AI Solutions and Services to help banks, fintechs, insurers, reinsurers, brokers and other corporates transform their operations. Specific features and capabilities of these Services may vary by subscription plan, license agreement and client.
Acceptable Use and Conduct
Users may use the Services to leverage AI tools for enterprise solutions. Users shall use the Services strictly in accordance with all applicable laws, regulations, and any relevant policies, all of which form an integral part of these Terms.
Without limitation, you agree not to:
Use the Services for harmful, unlawful, abusive and deceptive purposes;
Interfere with the operation, integrity or security of the Platform;
Upload or transmit any malicious code, viruses, or scripts;
Attempt unauthorized access to systems or data not intended for you;
Engage in unauthorized access, scraping or data harvesting activities;
Attempt to misrepresent your identity, impersonate others or use bots or automation tools to interact with the Services;
Copy, distribute or reverse-engineer any part of the Services without permission.
Any violations of the above may result in temporary suspension, permanent deactivation of your account or referral to law enforcement authorities, as determined in our sole discretion.
Intellectual Property
All intellectual property rights in the Services, including underlying code, design, trademarks, data models, documentation, and digital content, are owned by or licensed to MasteryHive.
You agree not not:
Reproduce, modify, or distribute any part of the Services without prior written consent;
Use our trademarks or branding without authorization;
Create derivative works based on our materials;
Frame or mirror any portion of the Services without express permission.
We reserve all rights not expressly granted under these Terms.
Data Privacy, Information Security and Processing
Your use of the Services is governed by our Privacy Policy and Cookies Policy, which form an integral part of these Terms.
We collect and process data in accordance with the Nigeria Data Protection Act 2023, UK General Data Protection Regulations, Data Protection Act 2018, Delaware Online Privacy Protection Act, and applicable international privacy frameworks.
We collect personal and organizational data when:
You create an Account or subscribe to Services;
You upload documents, assessments, or communications;
You interact with system features (e.g., AI tools, search, dashboards);
You submit support or feedback requests.
The continuous use of our Services constitutes consent to such collection and processing.
Security Standards
MasteryHive adheres to globally recognized information security frameworks, including ISO 27001, NIST 800-53 and PCI-DSS, and implements practices such as:
Encryption of data in transit (TLS 1.2 or higher) and at rest (AES-256);
Zero Trust architecture;
Real-time threat monitoring via a dedicated Security Operations Center (SOC);
Ongoing vendor risk assessments and third-party security audits.
User Responsibilities
You are responsible for:
Keeping your passwords secure, using complex credentials;
Promptly reporting any suspected breaches or suspicious activity;
Not using automated tools or scripts to interact with the platform;
Not engaging in any conduct that circumvents security controls.
Prohibited Conduct
You agree not to:
Tamper with security features or exploit vulnerabilities;
Introduce malware, bots, or phishing tools into the Services;
Attempt unauthorized access to data, systems or accounts;
Misuse our Services in a way that risks the confidentiality, integrity, or availability of data or infrastructure.
Breach Consequences
Any violation of the Information Security Policy may result in:
Immediate suspension or termination of access;
Legal consequences including liability for damages or regulatory penalties;
Reporting to relevant law enforcement or regulatory authorities.
Data Retention
Personal data is retained for as long as necessary to fulfill its intended purpose, comply with legal obligations, resolve disputes or enforce our rights. Usage data may be retained longer for analytics or security purposes
Data Localization and Cross-Border Transfers
In any event where data is transferred outside of the UK, USA, Nigeria or any other regulated jurisdictions, MasteryHive ensures adequate safeguards are implemented, including standard contractual clauses, encryption, data processing agreements, and data localization protocols as appropriate.
Incident Response and Recovery
In the event of a security incident, MasteryHive will respond in accordance with its established response plan, which includes containment, user notification (where legally required), data restoration, and root cause analysis. Further details are outlined in our Information Security Policy.
Monitoring and Auditing
We continuously monitor our systems, logs, and user interactions to detect threats, ensure compliance, and maintain system integrity. These activities are governed by secure log management and internal audit frameworks.
Website-Specific Protections
Additional technical measures are in place to protect the MasteryHive website and web-based services, including:
Advanced firewalls, WAFs, and Intrusion Detection Systems (IDPS);
DNS protection and bot mitigation strategies;
Secure Software Development Lifecycle (SSDLC) practices;
Accessibility security for all users, including those with disabilities.
Cookies and Similar Technologies
We use cookies and web analytics tags to enhance your experience, measure engagement and support targeted promotions. By using the Services, you consent to the use of these tools. You may manage cookie preferences via your browser settings.

Third-Party Services and Integrations
MasteryHive may integrate or link to third-party tools or platforms. MasteryHive is, however, not responsible for the third-party content or its privacy practices. Your use of these services is subject to their own terms and policies.
Service Availability and Modifications
We strive to provide uninterrupted access to our Services, but do not guarantee 100% uptime.
Temporary service interruptions may occur due to:
Scheduled maintenance;
Emergency security patches;
Service upgrades;
Force majeure or third-party failures.
We will endeavor to notify Users in advance of planned outages. We may change, update, or discontinue features at our discretion. We may also suspend or limit access for maintenance, security or legal reasons.
We shall not be liable for downtime or performance issues beyond our control. We also shall not be liable for disruptions or non-performance due to events beyond our control, including but not limited to cyberattacks, regulatory changes, natural disasters, or third-party payment failures.
Disclaimers and Limitation of Liability
MasteryHive provides the Services on an “as-is” and “as-available” basis. To the fullest extent permissible by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, non-infringement, fitness for a particular purpose, accuracy or reliability of data outputs, or availability of uninterrupted service.
We shall not be liable for any indirect, incidental, punitive, or consequential damages arising from your use of or inability to use the Services. We do not warrant that the Services will be uninterrupted or error-free. We do not guarantee results from the use of AI tools, nor do we provide legal, actuarial, or financial advice. Our maximum aggregate liability under these Terms shall not exceed the total fees paid by you to us, if any, in the six (6) months preceding the date of the claim.
Indemnification
You agree to indemnify MasteryHive, its affiliates, employees, and partners from any claims, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, your infringement of third-party rights or applicable laws.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Delaware and to the extent applicable, the laws of the Federal Republic of Nigeria and the United Kingdom. Disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Delaware, USA, courts of London, United Kingdom, and the courts of the Federal Republic of Nigeria unless otherwise agreed in writing.
Where mandatory arbitration is required by law or agreement, the parties shall resolve disputes through confidential, binding arbitration before a single arbitrator appointed under the rules of a recognized arbitral institution.
Modifications to Terms
We reserve the right to amend, revise, or replace these Terms at any time. In the event of material changes, we will notify Users through appropriate channels. Your continued use of the Services following the effective date of any changes constitutes acceptance of the updated Terms.
